DOGPAY EARN PRODUCT TERMS

Effective Date: January 20, 2026

1. ACCEPTANCE OF THESE TERMS

By subscribing to DogPay Simple Earn Services, you acknowledge and agree to be bound by these Earn Service Terms (“Terms”). You confirm that you have read and understood these Terms in their entirety before using the services. If you do not accept these Terms, you must not use the Simple Earn Services.

2. SCOPE OF SERVICES

These Terms govern your access to the Digital Asset "Simple Earn" service provided by DogPay. The services comprise:

• Flexible Simple Earn: Assets can be redeemed at any time.
• Locked Simple Earn: Assets are maintained for a pre-determined period.

3. DISCLOSURE AND CONSENT

• No Guarantees: Simple Earn Rewards are not guaranteed or fixed; rates and timing may vary.
• Asset Commingling: Simple Earn Assets will not be segregated and may be commingled with Digital Assets belonging to DogPay and its affiliates.
• Operational Use: You grant DogPay the right to use your assets for operating purposes, including loans to other clients and on-chain staking activities.
• Risk of Loss: In exceptional circumstances, such as hacks, systemic risk, or black swan events, DogPay may be unable to return your assets in full, resulting in potential loss.

4. FLEXIBLE SIMPLE EARN

• Earnings Accrual: Earnings start accruing from the date of subscription confirmation. Earnings are confirmed, calculated, and distributed once daily, similar to traditional bank practices.
• Bonus Tiered Rewards: DogPay may offer additional daily rewards on a 365-day pro rata basis, which are non-compounding and distributed to your Account.
• Redemption: You may request redemption at any time, and assets are typically returned immediately, except in cases of extreme market volatility or technical failure.

5. LOCKED SIMPLE EARN

• Lock-up Period: Assets generally cannot be redeemed until the end of the Locked Simple Earn Term.
• Rewards: Rewards accrue daily starting the day after subscription and are non-compounding.
• Early Redemption: If permitted, you may Early Redeem the entire balance only. You acknowledge that Early Redemption results in the forfeiture of all rewards accrued or distributed during the term. DogPay will deduct distributed rewards from the principal before returning it.

6. AUTO-SUBSCRIBE FEATURES

• Flexible Auto-Subscribe: You may instruct DogPay to automatically transfer Eligible Digital Assets from your Account to Flexible Simple Earn daily.
• Locked Auto-Subscribe: You may elect to automatically renew Locked Simple Earn Assets into a new term of the same duration upon the Settlement Date.

7. LIMITS AND VARIATIONS

DogPay reserves the right, at its sole discretion, to:

• Reject or remove any Digital Asset from the program.
• Modify Subscription Limits (minimum or maximum amounts).
• Vary the Rewards Rate at any time without prior notice.
• Mandatorily redeem or return assets to any user.

8. GOVERNING LAW AND DISPUTES

Any disputes arising out of these Terms shall be governed by the dispute resolution, arbitration, and governing law provisions set out in the DogPay Terms of Use.
