DogPay Card Program Terms

1. Definitions

• DogPay Card: A virtual payment card provided by DogPay, accessible digitally with a unique 16-digit card number, expiration date (formatted as MM/YY), and 3-digit CVV code. It operates on [Visa/Mastercard] network rails as specified in the cardholder’s account dashboard.

• Cardholder: An individual (18+ years old) or registered legal entity that has successfully completed application, identity verification, and activation of a DogPay Card. For entities, the authorized user must be a designated representative with signatory rights.

• Funding Source: A linked bank account, e-wallet, or preloaded balance that provides funds for Card transactions, subject to verification by DogPay and the Issuer.

• Card Account: A virtual payment card provided by DogPay, accessible digitally with a unique 16-digit card number, expiration date (formatted as MM/YY), and 3-digit CVV code. It operates on [Visa/Mastercard] network rails as specified in the cardholder’s account dashboard.

• Chargeback: A reversal of a Card transaction, initiated by the Cardholder or the Issuer, where the funds are returned to the Cardholder’s account.

• Card Network: The network through which Card transactions are processed, including Visa or Mastercard.

• Card Network Rules: A virtual payment card provided by DogPay, accessible digitally with a unique 16-digit card number, expiration date (formatted as MM/YY), and 3-digit CVV code. It operates on [Visa/Mastercard] network rails as specified in the cardholder’s account dashboard.

• Card Issuance: An individual (18+ years old) or registered legal entity that has successfully completed application, identity verification, and activation of a DogPay Card. For entities, the authorized user must be a designated representative with signatory rights.

• BIN Sponsor: A linked bank account, e-wallet, or preloaded balance that provides funds for Card transactions, subject to verification by DogPay and the Issuer.

2. Scope

These Terms govern the application, issuance, use, management, and termination of DogPay Cards, including all interactions between the Cardholder, DogPay, and the Issuer. By submitting an application or using the DogPay Card, the Cardholder acknowledges reading, understanding, and agreeing to these Terms, the Issuer’s operating rules, applicable card network regulations (e.g., Visa Core Rules), and relevant laws (e.g., GDPR for EEA users, CCPA for California residents).

3. Application & Activation

3.1 Eligibility

• Individual applicants must provide government-issued ID (passport), tax identification number (if applicable).

• Entity applicants must submit business registration documents, beneficial owner information (25%+ ownership), and authorized signatory credentials.

• Applicants must have a valid DogPay account in good standing with no history of fraud or regulatory violations and have the full right, power, and authority to agree to these Terms.

3.2 Approval Process

• Applications are reviewed within 1-3 business days. Approval is at the sole discretion of the Issuer, which may request additional documentation.

• We are entitled, in our sole discretion, to refuse your application of the Services, and/or to change the eligibility criteria for registration at any time. Declined applications will receive a notification with a brief explanation (where legally required).

3.3 Activation Requirements

• The Card is activated once the Cardholder accepts these Terms via the DogPay app/website.

• Prepaid Cards require a minimum initial load of [Amount] from an approved Funding Source.

• Credit-based Cards (if offered) require credit approval, with limits determined by the Issuer’s credit assessment.

4. Usage Rules

4.1 Permitted Use

DogPay Cards may be used for:

• Online purchases at merchants accepting the card network (Visa/Mastercard).

• Recurring subscriptions, provided the merchant is registered with the card network’s recurring billing program.

• Cross-border payments where the merchant’s acquiring bank is licensed to process international transactions.

• Transactions must comply with all applicable laws, including export controls, economic sanctions (e.g., OFAC), and anti-corruption regulations.

4.2 Prohibited Use

The Card must not be used for:

• Illegal activities (narcotics, weapons trafficking, etc.) as defined by local and international law.

• Products and Services that infringe Intellectual Property such as sales or distribution of music, movies, software, or any other licensed materials without appropriate authorization.

• Intentionally promoting, supporting, or perpetrating (1) violence or physical harm or (2) hate toward any group or individual based on race, religion, disability, gender, sexual orientation, gender identity, national origin, immigration status, or any other legally protected characteristic.

• Gambling, betting, or gaming transactions in jurisdictions where such activities are unregulated or prohibited.

• Money laundering, terrorist financing, or any transaction on sanctions lists (e.g., OFAC SDN List).

• Peer-to-peer (P2P) transfers unless explicitly enabled for the Cardholder’s account tier.

• Transactions with merchants identified by the Issuer as high-risk (updated quarterly and available in the Cardholder dashboard).

DogPay Card is not available in the following jurisdictions: Afghanistan, Albania, Belarus, Bosnia, Central African Republic, Congo, Cuba, Cyprus, Eritrea, Haiti, lran, lraq, Kosovo, Lebanon, Liberia, Libya, Macedonia, Moldova, Montenegro, North Korea, Russia, Serbia, Somalia, Syria, Ukraine, Venezueia, Vietnam, Yemen, and Zimbabwe.

4.3 Limits & Expiry

• Limits may be adjusted based on account verification level (Basic/Verified/Premium) and transaction history.

Expiry: Cards expire on the last day of the month indicated (MM/YY). A replacement Card will be issued 30 days before expiry if the account is active and has a positive balance.

Balance Handling: Expired Cards with remaining balances (≥ [Minimum Amount]) will be transferred to a new Card upon request; balances < [Minimum Amount] may be forfeited after 12 months of inactivity.

4.4 Security Obligations

• Cardholders must not share Card details (number, CVV, expiration date) or authentication codes (OTP, 3D Secure) with third parties.

• Lost/stolen Cards or unauthorized transactions must be reported immediately via the DogPay app (24/7) or support email; reports received within 48 hours of the transaction are eligible for investigation.

• Cardholders must maintain device security (e.g., password protection, anti-malware software) for devices accessing the DogPay platform.

• Failure to report unauthorized activity within 60 days of the transaction statement date may result in denial of liability reversal.

4.5 Chargeback

You shall contact us at [email address] without undue delay in the event of any dispute regarding the validity of any Card Transaction or request for Chargeback no later than 60 days after the transaction date in respect of a dispute to be reviewed and raised. We will assist you in resolution of the dispute or direct such request to the merchant or the relevant Card Network for processing.

You will be required to comply with the relevant Card Network Rules in relation to such dispute or Chargeback request, including furnishing a written explanation of the dispute or Chargeback request and/or a copy of the related sales transaction receipt and any other information and supporting documents that DogPay and/or the relevant Card Network may require. DogPay reserves the right to investigate any disputed transaction. In the event of any investigation by DogPay or competent authority, you agree to assist and cooperate by providing DogPay with any additional information and/or documentation. If evidence reasonably concludes that any disputed transaction is either a result of your wilful default, fraud or negligence, or in compliance with these Terms, you agree and authorise us to deduct the amount from the disputed transaction. Any fees imposed by DogPay and/or the relevant Card Network for the processing of such dispute or Chargeback request may be deducted from your balance or claimed from you and shall not be refundable for any reason whatsoever.

You hereby agree and accept that:

(a) DogPay and/or the relevant Card Network may, but are not obliged to (whether under these Terms or otherwise) assist you with or process your dispute or Chargeback request; and

(b) the decisions of DogPay and/or the relevant Card Network on all matters relating to or in connection with such dispute or Chargeback request is final and conclusive and binding on you for all purposes unless otherwise provided in such terms, conditions, rules, procedures and/or guidelines as may be issued by the relevant Card Network from time to time. You acknowledge and agree that the repayment of any amount previously charged to your DogPay Card may be subject to such terms, conditions, rules, procedures and/or guidelines as may be issued by the relevant Card Network from time to time. In any event, you acknowledge and agree that DogPay and the relevant Card Network shall not be liable to you in respect of any matter relating to or arising out of such dispute or Chargeback request.

5. Fees

• In consideration for the Services provided under these Terms, the Customer shall pay to DogPay the applicable Service Fees. The Service Fees shall be charged separately based on the specific type, usage, or scope of the Services utilized by the Customer, as further specified in the Service Schedule, Order Form, or other written agreements mutually executed by the Parties.

• DogPay may, in sole discretion, introduce additional Fees or otherwise adjust or update the Fees from time to time. All applicable Fees are exclusive of any applicable taxes and the actual Fee charged will be increased to account for any such applicable taxes.

• All Fees paid shall be non-refundable.

6. Restrictions & Termination

6.1 Suspension Triggers

• Suspected fraud, money laundering, or violation of these Terms.

• Regulatory orders or sanctions involving the Cardholder.

• 3+ consecutive failed attempts to verify transaction authenticity.

• Cardholder bankruptcy or insolvency (for entity accounts).

6.2 Termination Rights

• DogPay may at any time, without notice and in its sole and absolute discretion, terminate, suspend or limit your use, or the functionality, of the Services (including refusing to process any Card Transactions, or reversing any Card Transaction that you have effected) for any reason, including, without limitation: (a) in the event of any breach by you of these Terms, or all other applicable terms; (b) for the purposes of complying with Applicable Laws; (c) where DogPay suspects that a transaction effected by you is potentially connected to any unlawful activities (including but not limited to money laundering, terrorism financing and fraudulent activities); or (d) as may be informed by its internal risk monitoring policy and the profile of spending reasonably anticipated for the type of consumer group you belong to.

• You may at any time request for the termination of your DogPay Card, and, consequently the refund of your entire card balance. DogPay, in its sole and absolute discretion, will determine how (e.g. on-chain transfer, bank transfer or cheque) your remaining balance will be returned or released to you. Your remaining balance will only be returned or released to you, and not to any other person. In order to process your request for termination, DogPay may ask you to provide your photograph identification documents and other details for identification purposes to enable us to comply with Applicable Laws.

6.3 Post-Termination Obligations

• Cardholder must cease using the Card immediately upon termination.

• Outstanding fees or negative balances must be repaid within 15 days.

• Transaction history remains accessible via the app for 7 years (per regulatory requirements).

7. Restrictions & Termination

Except as expressly provided in these terms, to the fullest extent permitted by law, we disclaim all other representations or warranties, express or implied, made to you, your affiliates or any other person, including without limitation, any warranties regarding quality, suitability, merchantability, fitness for a particular purpose or otherwise (regardless of any course of dealing, custom or usage of trade) of any service or any goods provided incidental to the services provided under these terms. Our liability in respect of representations and warranties that cannot be excluded is limited, at our option, to any one of:

(i) re-supplying, replacing or repairing the services in respect of which the breach occurred or

(ii) paying the cost of the re-supplying, replacement or repairing of the services in respect of which the breach occurred.

Notwithstanding anything in these terms, to the extent permitted by law, in no event shall DogPay or any of its representatives be liable to you for any losses or damage or claims:

a. due to an unusual or unforeseeable event, outside the reasonable control of us and the consequences of which could not have been avoided even if all due care had been exercised (including but not limited to force majeure, events of war or civil unrest, natural disasters, strike, lock-out, traffic disruption, acts of domestic or foreign governmental authorities);

b. arising from or in connection with:

(a) any delay, suspension, discontinuance or failure of the app or services;

(b) any rejection of the DogPay card;

(c) any refusal to process or authorise any transaction for any reason;

(d) your inability to effect or complete any transaction due to system maintenance or breakdown / non-availability of the app, network, our hardware or software or that of any third parties;

(e) use of your enabled device and the services by third parties, whether authorised or unauthorised by you;

(f) any theft or loss of your enabled device; (i) caused by us due to compliance with applicable laws, court orders, and/or card network rules; and

(g) arising out of or in connection with these terms for lost profits, lost revenues, lost business opportunities, exemplary, punitive, special, incidental, indirect or consequential damages, each of which is hereby excluded by agreement of the parties to these terms, regardless of whether such damages were direct or indirect, foreseeable or unforeseeable, or whether we have been advised of the possibility of such damages.

DogPay shall not be liable for fault on the part of any third-party service providers instructed by us. In such cases, our liability shall be limited to using reasonable care in the selection, appointment and instruction of such third-party service providers (but not of any sub-contractor or other third-party such third-party service provider may use).

8. Restrictions & Termination

You agree to indemnify and hold DogPay, each of its affiliates and third-party service providers, and each of their respective officers, directors, agents, joint venturers, employees and representatives, harmless from any claim or demand (including attorneys’ fees and any fines, fees or penalties imposed by any regulatory authority) arising out of or related to

(i) your breach of these Terms;

(ii) your use of the App, the Services, the DogPay Card;

(iii) your violation of any rule or regulation, or the rights of any third-party; and

(iv) any loss or damage to any property of you or any other person(iv) any transactions resulted from your wilful default, fraud, gross negligence or breach of these Terms.

9. Privacy & Data

Personal data (e.g., KYC documents, transaction history) is collected solely for:

  • Identity verification and compliance with AML/KYC regulations.

  • Fraud detection and prevention.

  • Service improvement and personalized features (with opt-in consent).

• Data is stored securely using encryption (AES-256) and access is restricted to authorized personnel.

• Cardholders may request data deletion (where legally permitted) via [email protected], subject to retention requirements for financial records (7 years).

10. Amendments

• Changes to these Terms will be posted on the DogPay website with a 30-day notice period. Critical changes (fees, liability terms) will also be emailed to Cardholders.

• Cardholders may terminate the Card without penalty within the 30-day notice period if they object to the changes.

11. Dispute Resolution & Governing Law

These Terms shall be governed by and construed under the laws of Hong Kong, without reference to principles and laws relating to the conflict of laws. Any dispute, controversy, difference or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (the “HKIAC”) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be three (3). The arbitration proceedings shall be conducted in Chinese.
